Legal Manager

We are one of the leading producers of quality food products in the Gulf Cooperation Council Countries and are seeking for a Legal Manager with demonstrated experience in the Legal domain.

Major Functions
• Leads and evaluates the operations of the department that provides legal and Insurance services.
• Performing various tasks related to legal matters in a company
• Providing legal advice and guidance on all kinds of legal matters
• Preparing legal letters, agreements for mergers, acquisitions etc
• Ensuring compliance of laws and regulations for all operations in the organization
• Studying lawsuits filed by an individual or other business and find appropriate methods to save and ensure minimum loss to the company
• Securing company and it’s all possessions from any illegal problems
• Provides legal advice on all matters of risk, compliance and governmental regulation to Top management and other departments as need maybe.
• Prepares reports and briefs Top management on various business issues that involve a legal interpretation.
• Recommends the revision of rules, regulations and procedures to meet changes in local laws or policy.
• Represents the Company in lawsuits, grievances and complaints.
• Coordinates and acts as liaison between company and other organizations, law-firms and suppliers.
• Draft, reviews, or edits documents for accuracy and completeness.
• Assist in formulating policies and procedures.
• Reviews, drafts and negotiates all / specific contractual issues and agreements with external entities as appropriate, and participates in meetings pertaining to resolution of contracting issues.
• Performs all other duties that may be assigned to the position.

Head of Legal & Contract Administration - S.O.S. HR Solutions

• Provide general advice and counsel on all existing (and future) properties, including but not limited to, dispute / litigation resolution and avoidance, defaults and terminations, and lease, license and contract validity and enforceability.
• Provide advice and counsel across all business units regarding legal risk, and on policies, procedures and initiatives
• Identify issues of potential legal concern and work with relevant managers and business units to create, review, update, develop and implement policies and procedures to limit legal exposure

• Ensure that all legal aspects are appropriately addressed and covered in respect to company employees residency “on loan” from affiliated companies.

• Develop collaborative relationships with leaders of all Business Units
• Work in close association with the company’s nominated external legal service provider, monitor their performance and implement a series of timeline milestones for each service provided inclusive of an updated weekly reporting format.
• Prepare weekly, monthly, quarterly, annual reports (as the case may be) on the current status of all activities. Recommend any corrective / pro-active actions in the event of any deviation from company policy and/or conflict with Kuwaiti Law
• Compile a Policies & Procedures Manual for the Legal & Contract Administration Department

Contracts Lawyer

This position responsibility is to Draft, review, maintain and negotiate a variety of contracts and transactional documentation, including customer and master agreements, terms and conditions, terms of use, product specifications, license agreements, software agreements, marketing agreements, vendor agreements, lease agreements, confidentiality agreements, general corporate matters and transaction documents related to business needs and initiatives.

Tasks:

1.Draft contracts and other arrangements in relation insuring watertight documents short of ambiguity and vagueness.
2.Review of Contracts and other arrangements in relation to insure business needs are met without unexpected obligations.
3.Administer and maintain contracts and other arrangements in relation to provide effective solutions and keep commercial needs aligned with legal restrictions.
4.Negotiate contracts and agreements to ensure the organization meets its legal obligations, protect its interests and minimize commercial vulnerability.
5.Liaison and follow-up with external providers of legal services and other parties as required ensuring services are carried out with the required standards.
6.Contribute in conflict resolution to provide legal insight and awareness.
7.Provide legal advice to senior management and managers regarding various business issues and compliance matters
8.Maintain awareness of developments in all legal fields and local regulations.
9.Display mature legal and business judgment in identifying, assessing, and protecting the Company against various contractual risks.
10.Develop legal policies and standards to ensure that business activity and decision making are legally sound.
11.All reports and any additional tasks, responsibilities or projects required to fulfill the job as assigned by the direct manager within the scope of the Division.

Legal Manager - Kout Food Group

Provide legal advice and diligence to Management and CCEO as well draft/review commercial contracts and ensure legal risks are properly evaluated and mitigated while embarking on various company activities.

- Review commercial contracts and draft new clauses, amend clauses and draft new contracts as per the need.
- Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
