Contract Manager

Job Description:



The purpose of this role is to provide legal, commercial, and administrative support In relation to contract requirements, procedures, training and advice. The Contract Manager will be primarily responsible for managing contracts being negotiated and entered with clients, as well as for carrying out legal and contractuak analysis and relevant strategic assessment and consulting supporting senior legal counsels and well as internal stakeholders, being knowledgeable about the details and potential benefits/risks of any of such contracts.

Main Responsibilities



Provides support in relation to drafting, reviewing, negotiating and advising on a wide variety of commercial agreements covering a various range of transactions and areas, but generally focused on media and advertising services, IP and customer experience projects; Provides advice in connection with contracts interpretation, internal and external audits, disputes resolution and overall negotiation strategy, on a case by case basis and need; Provides wide support in relation to the management of internal Dentsu CLM tool as well as to the analysis related to clients’ contracts (e.g. complete agreement close-outs, terminations, renewals, adjustments, and extensions), as well as guidance on specific provisions and aspects as well as contract compliance requirements, also in term of setting up strategy for new business; Provides support to internal stakeholders (i.e. business, commercial-finance, finance and operation teams) during contractual negotiations with new/existing clients (such as NDAs, carrying out analysis of clients’ contracts - identifying specific terms such as conflict checks on non-compete and exclusivity provisions - and media owners as well as in the course of implementation and execution of clients’ contracts). This includes being able to efficiently provide a risk assessment of the proposed client contracts, clearly distinguishing between critical and less critical risks; Provides support to senior legal counsels in developing and delivering training and legal risk management initiatives to assist business teams and other stakeholders in managing legal risk (e.g. business trainings, legal updates, etc.) and managing contracts’ compliance; Provides general assistance with implementation of best-practices and standard documents to simplify the management of current workflows and to address new contractual needs; Performs a wide range of legal researches, analysis and drafting activities; Formulates and deploys process-related improvements with regards to the provision of legal support services, including drafting and revising template agreements and other legal training materials; Creates and proof -reads documents and presentations; Ensures that files are kept up to date with the correspondence and documents; Participates in the legal team’s marketing and networking strategies as directed and provides support to legal team organization and relevant activities (such as staff meeting management, management of activities with external legal counsels and consultants, etc.);
Helps on implementing best-practices in compliance, contract management, intellectual property, data privacy and M&A.
