    Job Description


    In this role you will provide advice to the group’s business units on all legal and regulatory matters pertinent to the group’s acquisitions, projects and new business ventures, locally and internationally. As a legal advisor, working closely with the General Counsel, you will interact closely with all functions in the organization in order to provide technical legal advice and guidance on legal compliance.

    1. Assume primary drafting responsibility for complex transactional documents (including acquisition agreements, share purchase agreements, loan documents, joint venture agreements and shareholders’ agreement) and ancillary transactional and closing documents
    2. Assume primary responsibility for diligence review of transactions, preparing due diligence reports and coordinating the attendance to due diligence queries
    3. Assume primary responsibility for advising on, negotiating and closing complex transactions
    4. Act as lead lawyer on acquisitions or divestitures, project development, corporate reorganizations or financing transactions
    5. Provide material input (in the form of legal and factual analysis) in the structuring, negotiation and closing phases of transactions
    6. Coordinate and follow up with external legal counsel (local and international) in order to ensure provision of timely and proper legal services to the group and to implement that advice in transaction documents
    7. Undertake and coordinate legal research in relation to relevant rules, regulations and laws by utilizing a variety of legal research tools, including firm-subscribed online databases, public databases and journals
    8. Prepare and coordinate the preparation of bring-ups and status reports with respect to procedural timetables for arbitration and/or court-related proceedings or any on-going procedures in order to update the team and keep track of any necessary follow up
    9. Follow up and monitor following up with various local government authorities
    10. Participate in the planning and preparation of materials for in-house training and learning



    • Possess solid knowledge of substantive corporate areas of the law


    • Computer skills (Excel word- Microsoft- Internet)
    • Master written and oral communication skills in Arabic, English and French in respect of communication with third parties and in-house communications
    • Ability to exercise sound judgment on legal and business matters, identifying and prioritising more important and material business issues
    • Ability to assume multiple tasks and to prioritize more important matters


    • Over 10 years’ experience as corporate lawyer
    • Experience in identifying and dealing with complex legal issues
    • Experience in contracts law and International business transactions
    • Experience in managing complex transactions, including proper allocation of resources, supervising the work of junior lawyers, coordinating the work of outside counsel, and being the primary day-to-day contact.


    Degree in law / LLM is a must
