Job Description

The role holder is responsible for supporting the Manager –Legal in providing timely legal advice and legal

administrative support to client's business units in relation to transactional legal matters and corporate

governance, as well as the provision of legal support and administration assistance to client Legal team as

appropriate.

Agreement / Contract Drafting

• Draft and review transactional legal instruments / documents / written

communications, in particular: drafting of MOUs, exclusivity agreements, term

sheets, governance related documentation, procurement contracts, leases,

licenses, default notices, non-disclosure agreements, bank mandates, due diligence

and legal reports in accordance with Legal Department policies and procedures

under the supervision of Manager - Legal.

• Draft and revise MOAs and AOAs, provide instructions to renew trade licenses, and

draft POAs.

• Seek and ensure that all necessary approvals as per the Delegation of Authorities

as well as compliance policies are procured from all concerned parties before

engrossing the agreements and dispatching for signing.

Assistance with other Legal documents, Templates

• Draft and prepare a variety of legal correspondence and legal documents utilizing a

variety of software applications, including correspondence with external parties and

Dubai courts.

• Meet with the business units to discuss the terms and conditions of the agreements,

respond to their inquiries, and provide information/documents as may be requested.

• Prepare and review templates in line with Legal Department Policies & Procedures

under the supervision of the line manager and the Vice President - Legal and

suggest revisions to the same.

• Assist in the drafting of Legal Department exemptions memoranda, policies, and

procedures.

• Draft summary memoranda at the conclusion of commercial deals, Support with Communications

Research, and other assignments

• Manage communications / interoffice memoranda and correspondence between theLegal Department and client's business units.

• Provide legal support to the Legal team including but not limited to legal

research, proof reading and translations.

Legal Documentation

• Ensure that legal documentation is received in full and coordinate with the relevant

parties for the provision of required additional/missing information and maintains up to date records of all transactions


Requirements• Bachelor’s Degree in any field, preferably in Law.

• Paralegal qualification preferred.

• Minimum 3 years post qualification legal experience in a law firm or in-house

legal department.

• Work experience in corporate legal matters

• Demonstrated legal translation experience, a plus.

• Good sense of judgement.

• Ability to work with independence.

• Knowledge of Legal and corporate compliance.

• Arabic / English translation is a plus. Legal Arabic, a plus

• Advanced research skills.

• Excellent communications skills.

• Ability to observe confidentiality obligations.
