Job Description

COMMERCIAL & LEASING

  • Draft, review and negotiate a wide range of commercial contracts, including but not limited to franchise agreements, distribution agreements, brand-store agreements, sales on consignment agreements, retailer contracts, supply contracts, sale and purchase agreements, commercial representation and agency contracts, rental and lease contracts, service provision contracts.
  • Devise a comprehensive process for contracts conclusion, set up the necessary internal policies and procedures, developed various standard form templates and oversaw business and in-country compliance with such process and requirements.
  • Advise business teams on ad hoc legal and contractual matters, including remedies for breach and contract interpretation.
  • Managed lawyers, paralegals and PROs on a daily basis and assessed them and reviewed their performance.
  • Coordinate with intellectual rights property agents and external lawyers for the purpose of registering trademarks, filing oppositions, renewing the trademarks registrations and defending or taking legal action to protect such trademarks.

CORPORATE & COMPLIANCE

  • Establish companies and joint-ventures.
  • Draft, review and negotiate shareholders’ agreements, nominee agreements, sponsorship agreements, MOAs, AOAs and various amendments thereto.
  • Work on corporate restructurings, assignments of shares and draft, review and negotiate the afferent legal documentation.
  • Manage and coordinate with external law firms in multiple jurisdictions on the incorporation of companies, joint-ventures and corporate restructuring.
  • Provide counsel and legal opinions on various corporate related matters including compliance with newly enacted laws and regulations and updated MOAs and AOAs accordingly.

LITIGATION

  • Handle numerous lawsuits in various jurisdictions as well as arbitrations in coordination with external lawyers and reviewed memos, evidence and other legal documents submitted to Courts and Arbitration Tribunals.
  • Work with internal teams on gathering evidence for litigation proceedings and devised strategies in coordination with external law firms.
  • Attend Court appointed experts’ meetings and arbitration hearings.
  • Draft, review and negotiate amicable settlement agreements and debt rescheduling agreements and drafted various demand and claim letters.

EMPLOYMENT

  • Draft, review and amend a range of employment related documents including employment contracts, recruitment agreements, internal memos and circulars, company policies and staff handbooks and ensured that they comply with the applicable labor laws.
  • Advise on all employment law related matters including but not limited to working hours, annual leave, and overtime.
  • Advise on all issues relating to disciplinary matters including the drafting and review of warning letters and the issuing of disciplinary action.
  • Advise on all aspects of effecting dismissals and termination of employment such as redundancies, misconduct, and performance dismissals.
